1. Overview
These Terms of Service ("Terms") form a legally binding agreement between you, whether acting personally or on behalf of an entity ("User", "you", "your"), and Sourcima Ltd ("Sourcima", "we", "us", "our").
Sourcima operates a platform that enables businesses to source, manage, and deliver manufacturing projects.
By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.
2. Definitions
"Buyer" means a User procuring goods or services via the platform.
"Supplier" means a User providing goods or services via the platform.
"Quote" means a commercial proposal submitted via the platform.
"Order" means a binding purchase contract between the Buyer and Sourcima.
"Content" means all data, files, designs, drawings, specifications, and communications uploaded or shared via the platform.
"Prohibited Weapons" means any weapon, munition, ammunition, explosive ordnance, incendiary device, or other instrument or component designed or intended to cause death or serious bodily injury, including firearms, ammunition, explosives, detonators, and critical components.
3. Platform Role
3.1 Sourcima provides a managed platform through which Buyers can procure manufacturing services.
3.2 All Orders are entered into between the Buyer and Sourcima. Sourcima engages Suppliers to fulfil Orders on the Buyer's behalf.
3.3 Sourcima is responsible for coordinating the fulfilment of Orders but does not guarantee uninterrupted service, supplier availability, or specific outcomes beyond what is agreed in an Order.
4. Registration and Accounts
4.1 You must have legal capacity to use the platform.
4.2 You agree to provide accurate, complete, and up-to-date information and to keep it updated.
4.3 You are responsible for maintaining the confidentiality of your account and for all activity under your account.
5. Quotes and Orders
5.1 Quotes may be provided through the platform and remain valid for the period specified, or thirty (30) days if no period is stated.
5.2 Sourcima may rely on Supplier inputs when generating Quotes but reserves the right to review and confirm all Quotes prior to Order acceptance.
5.3 A binding Order is formed only when Sourcima confirms the Order following Buyer acceptance of a Quote.
5.4 Sourcima may correct clerical or administrative errors in Quotes or Order confirmations with notice to the Buyer.
6. Specifications, Files, and Technical Information
6.1 Buyers are solely responsible for the accuracy, completeness, and suitability of all Content provided.
6.2 Sourcima may request clarification, suspend processing, or reject an Order where information is incomplete or inconsistent.
6.3 Sourcima is not responsible for defects, delays, or costs arising from inaccurate or incomplete Content provided by the Buyer.
7. Delivery, Risk, and Title
7.1 Delivery terms will be specified in the Order or agreed otherwise.
7.2 Risk in the goods passes to the Buyer upon delivery. Title passes only upon full payment.
7.3 Buyers are responsible for ensuring availability to receive delivery. Sourcima is not liable for delays or additional costs resulting from failed delivery attempts.
7.4 Claims for shipping damage or loss must be raised in accordance with the relevant carrier's procedures.
8. Payments and Fees
8.1 Buyers purchase goods and services directly from Sourcima.
8.2 Sourcima collects payment from Buyers for Orders placed through the platform.
8.3 Sourcima charges service fees for matching, coordination, and processing of Orders through the platform. These fees are incorporated into Order pricing unless stated otherwise.
8.4 Due to the customised nature of manufacturing, Orders are generally non-cancellable once production has commenced, except where required by law or explicitly agreed.
9. Disputes
9.1 Buyers must notify Sourcima promptly of any issues with an Order.
9.2 Sourcima will investigate and seek to resolve disputes within a reasonable timeframe.
9.3 Resolution outcomes may include remediation, replacement, or other reasonable measures at Sourcima's discretion.
10. Prohibited Weapons and Restricted Goods
10.1 Users must not use the platform to design, manufacture, procure, or facilitate Prohibited Weapons.
10.2 Sourcima may refuse, suspend, or cancel any Order or account where there is reasonable suspicion of prohibited use.
10.3 Sourcima reserves sole discretion in determining whether an item falls within restricted categories.
11. Intellectual Property
11.1 Buyers retain ownership of all Content they upload to the platform.
11.2 By submitting Content, Buyers grant Sourcima a limited, non-exclusive licence to use, process, and share such Content solely for the purpose of fulfilling Orders and operating the platform.
11.3 Users must ensure that they have all necessary rights to any Content they provide and that such Content does not infringe third-party rights.
12. Confidentiality and Data Use
12.1 Information shared through the platform will be treated as confidential, except where disclosure is required to fulfil Orders or comply with legal obligations.
12.2 Sourcima may use aggregated and anonymised data to improve platform performance and services.
13. Data Protection
13.1 Sourcima processes personal data in accordance with its Privacy Policy.
13.2 Users should refer to the Privacy Policy for details on how personal data is collected, used, and protected.
13.3 Requests relating to personal data may be submitted to support@sourcima.com.
14. Suspension and Termination
14.1 Sourcima may suspend or terminate accounts where there is a breach of these Terms, suspected unlawful activity, or misuse of the platform.
14.2 Termination does not affect rights or obligations relating to existing Orders.
15. Limitation of Liability
15.1 The platform is provided on an "as is" basis without warranties of any kind.
15.2 Sourcima shall not be liable for indirect or consequential loss, including loss of profit or business interruption.
15.3 Sourcima's total liability shall not exceed the greater of:
(a) the total fees paid by the User in the twelve (12) months preceding the claim; or
(b) £5,000.
16. Force Majeure
Sourcima shall not be liable for failure or delay resulting from events beyond its reasonable control, including natural disasters, strikes, power outages, or governmental actions.
17. Amendments
Sourcima may update these Terms from time to time. Continued use of the platform constitutes acceptance of the updated Terms.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
19. Miscellaneous
19.1 These Terms constitute the entire agreement between the User and Sourcima.
19.2 If any provision is found to be invalid, the remaining provisions shall remain in effect.
19.3 These Terms are drafted in English, which shall prevail in case of conflict.
